Prototype Tester Agreement

This agreement is between Pour Thoughts L.L.C., which makes PourPar (“we”), and you, the person signing up, for the restaurant or bar you name on the sign-up form (“you” and “your venue”). We email it to you after you sign up, and you accept it when you start using the prototype.

• Free use of the PourPar prototype for as long as the test runs: inventory, prep, recipe scaling, costing, ordering and invoice reading.
• Then a year of PourPar free for your venue, starting the day PourPar launches.
• Nothing is charged during the test or that free year. After the year, staying on is your choice and a separate paid sign-up.
• We tell you before the test ends.
• A direct line to Henry for problems and requests.

You share your venue’s working data so the prototype can do its job: invoices, orders, inventory counts, recipes, prep lists and sales reports. You agree we can use it in these four ways.

• Run the prototype for you. We read, store and process your data to show you counts, costs, prep and orders.
• Build and improve PourPar. We use your data to test and improve the software, including the invoice reader.
• Pooled data with names removed. We combine your data with other venues’ data after removing anything that identifies you, your venue, your staff or your guests. We can use that pooled data for any purpose, including in products and reports we sell. We will not try to re-identify it.
• What we will not do. We never sell or share data that identifies you or your venue. The exceptions are the service providers that run PourPar for us (hosting, storage, the AI models that read invoices), only so they can do that work, and anything the law requires.

Our privacy policy also applies; its section 12 covers testers.

We can use anything you tell us about PourPar (ideas, complaints, feature requests) however we like, without paying you or owing you anything for it. We quote you publicly only with your OK, and we leave out your name and venue unless you agree.

• You confirm you’re allowed to share the data you give us. If you don’t own the venue, you have the owner’s OK.
• Leave out anything a supplier contract forbids you to share.
• Keep guest personal details (names, contact details, card numbers) out of uploads unless we ask for them.

We keep data that identifies you confidential, as section 3 sets out. In return, keep what you see of the unreleased prototype (screens, features, plans we share) to yourself until it launches. You can still tell people you’re testing it.

The prototype is unfinished and provided as is, with no warranties. It will have bugs and it can be wrong, including counts, costs and order suggestions, so check the numbers before you act on them. As far as the law allows, our total liability to you under this agreement is $100. Neither of us is liable to the other for indirect damages or lost profits.

• Either of us can end the test at any time by email.
• When you leave you can download your data first.
• If you ask, we delete the data that identifies you or your venue within 30 days.
• Pooled data already made under section 3 stays, since it can’t be traced back to you.

This is the whole agreement about the prototype test. If any part can’t be enforced, the rest still applies. District of Columbia law governs it. We may update these terms: we email you first, and if you keep using the prototype after the change, you accept it.
